Terms of Service

1. Acceptance of Terms

By accessing or using Webly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Webly, Inc. ("Webly," "we," "us," or "our").

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or your business to use the Service.

2. Description of Service

Webly is an AI-powered website builder designed for trade businesses, including electricians, plumbers, and HVAC contractors. The Service allows you to:

• Complete a business brief questionnaire
• Receive an AI-generated website based on your responses
• Host your website on Webly's infrastructure
• Manage and update your website content through the Webly dashboard
• Regenerate sections of your website using AI (subject to limits)

The Service is provided on a monthly subscription basis. Access to the live, publicly hosted version of your website requires an active, paid subscription.

3. User Accounts and Responsibilities

You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information updated
• Immediately notify us of any unauthorized use of your account
• Not share your account credentials with third parties

You are responsible for the accuracy of all information you provide in the business brief, including business name, licensing status, insurance status, contact details, and service descriptions. Webly is not responsible for errors or inaccuracies in your website resulting from information you provided.

4. Subscription, Billing, and Cancellation

Subscription: The Service is offered on a month-to-month subscription at $49 USD per month. Your subscription begins when you activate your website (enter payment information and confirm).

Billing: You authorize Webly to charge your payment method on a recurring monthly basis. All fees are billed in advance at the start of each billing period. Payments are processed securely via Stripe.

Free Preview: You may generate and preview your website before subscribing. The preview is watermarked and not publicly accessible. No payment is required to preview.

Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. You will not receive a prorated refund for the unused portion of your current billing period.

Effect of Cancellation: Upon cancellation, your website will remain live until the end of your current billing period, after which it will be taken offline and will no longer be publicly accessible. Your account data, including your business brief and generated website files, will be retained for 30 days after cancellation, during which you may reactivate your subscription to restore your site.

Refunds: All subscription fees are non-refundable except as required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Publish false, misleading, or defamatory information about your business, credentials, or services
• Claim licenses, certifications, or insurance coverage you do not hold
• Infringe on the intellectual property rights of any third party
• Transmit spam, malware, or harmful code
• Attempt to reverse-engineer, scrape, or copy the Webly platform or its AI systems
• Use the Service for any purpose other than promoting a legitimate trade business
• Impersonate another person or entity

Webly reserves the right to suspend or terminate accounts that violate these acceptable use provisions, without refund.

6. Intellectual Property

Your content: You retain ownership of all information you provide in your business brief, including your business name, logo, descriptions, photos, and contact information ("Your Content"). You grant Webly a limited, non-exclusive license to use Your Content solely to provide the Service.

AI-generated content: The website copy, structure, and design generated by Webly's AI based on your brief is provided to you for your use as part of the subscription. Upon active subscription, you may use and display this content as your business website.

Webly platform: Webly owns all rights in the platform, including the AI models, algorithms, software, templates, design systems, and infrastructure. Nothing in these Terms transfers any ownership of the platform or its underlying technology to you.

Feedback: If you provide feedback or suggestions about the Service, you grant Webly the right to use that feedback without compensation or attribution.

7. AI-Generated Content Disclaimer

The website content generated by Webly's AI is based solely on the information you provide in your business brief. Webly does not guarantee the accuracy, completeness, or suitability of any AI-generated content.

You are solely responsible for reviewing your generated website before it goes live and ensuring that all content — including service descriptions, licensing claims, insurance status, contact information, and pricing — is accurate and compliant with applicable laws and regulations in your jurisdiction.

AI-generated content may occasionally contain errors, omissions, or language that does not fully reflect your business. You should review and correct any such content through your management dashboard.

8. AI Regeneration Limits

Each active subscription includes up to 20 AI regeneration requests per calendar month. A regeneration request is any request to re-generate a section or page of your website using the AI.

Regeneration limits reset at the beginning of each calendar month. Unused regenerations do not carry over. If you require additional regenerations beyond the monthly limit, please contact us at hello@usewebly.com.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA.

IN NO EVENT SHALL WEBLY'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO WEBLY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WEBLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Webly does not guarantee any specific search engine ranking, traffic levels, or business outcomes from use of the Service.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by displaying a notice within the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

12. Termination

Webly reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that Webly determines violates these Terms, applicable law, or is harmful to other users, third parties, or the business interests of Webly. Upon termination for cause, no refund will be issued.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
